These are the Abu Dhabi Ports Operating Company – Abu Dhabi Terminals PJSC (ADT) terms and conditions for use of online or electronic payment methods to pay for ADT’ Services (Online Payment Terms & Conditions or Agreement).

Please read these terms and conditions carefully before agreeing to these Online Payment Terms & Conditions by ticking the acceptance box.

Your use of this payment option constitutes Your acceptance of the Online Payment Terms & Conditions. Your use of this payment option constitutes Your acknowledgement that you have read this Agreement and have retained a copy for Your records. If you do not agree to any of these terms and conditions, please discontinue Your use of the online payment option immediately.

You and Your refers to anyone following ADT's link to use the Payment Site(s) described below. Funding Account refers to any current, checking, savings, money market, credit card or other bank account or facility in Your financial institution from which Your payments will be debited or charged. e-Invoice refers to the electronic invoice from ADT to You for ADT Services. Online Payment refers to any payment You originate from this Payment Site(s) (as defined below). Unless expressly stated otherwise, in this Agreement defined terms shall have the same meaning as ascribed to such defined terms in the Khalifa Port Container Terminal Terms and Conditions of Use and Tariffs.

a. When submitting an electronic payment, You will be linking to and accessing an electronic payment facility web site (Payment Site(s)) which is owned and operated by Network International LLC and which has sole control of, and exclusive responsibility for the security, data, information exchange and any and all Your transactions on the Payment Site.

b. Access to, and use of, the Payment Site(s) is subject to any terms and conditions of use, privacy and/or as otherwise set forth on the Payment Site(s).

c. By using the Payment Site(s) You will be authorizing Network International LLC to electronically debit Your Funding Account.

d. ADT, from time to time and without direct, individual notice to You, may revise or update this Agreement, including any fees or charges (if any) related thereto, or cease providing access to the Payment Site(s) at any time. It is Your responsibility to read and review the terms of this Agreement each and every time You authorize a transaction.

a. This electronic payment option is provided for Your convenience. You remain fully and directly liable to ADT for any amounts and/or fees owed or due to ADT. You are solely responsible for ensuring that the payment or payments of any such amounts and/or fees are received by ADT. ADT will not be liable if any third-party, through whom any Online Payment is made, including, but not limited to, the Payment Site or Your financial institution, if You fail to properly or timely transmit Your payment.

b. In addition to any terms and conditions imposed upon You through this Agreement and the Payment Site, Your use of this electronic payment option may also be affected by other agreements between You and Your financial institution. You should review Your Funding Account agreements for any applicable fees and other restrictions, which might be impacted by Your use of this payment method, as those fees, will continue to apply. There may be fee limitations imposed by Your financial institution. You are responsible for being aware of and complying with those limitations.

c. You are responsible for any and all telephone access fees and/or Internet service fees that may be assessed for Your use of the Payment Site. ADT is not and shall not be liable or responsible for any system failure, Your misdirection of payment, or system error that occurs as a result of Your use of the Payment Site.

d. ADT reserves the right to obtain financial information regarding Your Funding Account from the Payment Site (for example, to resolve payment-posting problems or for verification). By Your use of the Payment Site(s), You authorize Network International LLC to electronically debit Your Funding Account pursuant to a transaction initiated through the ADT on-line payment system.

In addition, You authorize ADT to electronically debit Your Funding Account for any fees assessed by Your financial institution and incurred by ADT and/or the Payment Site(s) as a result of insufficient funds, closed account or the payment being rejected due to misrepresentation of account or data entry error in Your Funding Account, up to the maximum amount permitted by law

e. The Online payment system and e-Invoice and the Payment Site(s) use secure servers that implements technology in the encrypted email process to protect Your payment information. As an additional protection for You the Payment Site(s) is designed so that You cannot make a payment until You are safely within secure mode. We recommend that You do not communicate Your payment information details to anyone, including ADT, by phone or methods outside of the encrypted email.

f. ADT shall not be liable if the Payment Site(s) causes an incorrect amount of funds to be removed from Your Funding Account or causes funds from Your Funding Account to be directed to a payee, which does not comply with Your instructions.

ADT makes no representations and/or warranties of any kind regarding e-Invoices or online payment options, and/or the Payment Site(s), whether expressed or implied, including, but not limited to, any implied warranties of merchantability and fitness for a particular purpose.

ADT is not and shall not be liable or responsible for any system failure, Your misdirection of payment, or system error that occurs as a result of Your use of the Payment Site(s). In no event will ADT be liable to You for loss of or damage to records or data; inaccurate data, cost of procurement of substitute goods, services or technology; any matter beyond its reasonable control; or any direct, indirect, special, incidental or consequential damages arising out of this Agreement or Your use of ADT online payment system, the Payment Site(s) or any equipment or software required to use ADT e-Invoice or online payment system or the Payment Site(s), including but not limited to loss of profits, even if ADT has been advised of the possibility of such damages.

a. You expressly agree and understand that these Online Payment Terms & Conditions shall not in any way prejudice or abrogate the provisions of the Khalifa Port Container Terminal Terms and Conditions of Use and Tariffs.

b. You agree, as a condition of access to and use of ADT e-Invoice or online payment system to comply with and are deemed to have noted, accepted and agreed to observe all the terms and conditions of the Khalifa Port Container Terminal Terms and Conditions of Use and Tariffs.

This Agreement shall be governed by and construed in accordance with the laws of the UAE as applied in the Emirate of Abu Dhabi, without regard to its conflicts of laws provisions. The United Nation's Convention on Contracts for the International Sale of Goods is specifically excluded from application to this Agreement. The parties agree that the courts of Abu Dhabi, shall have sole and exclusive jurisdiction and venue over any matter arising out of this Agreement and each party hereby submits itself and its property to the venue and jurisdiction of such courts. Each party hereby waives any objection that it may now or hereafter have to the laying of venue of any such proceeding in such court, including any claim that such proceeding has been brought in an inconvenient forum.
